It’s difficult if not impossible to do a deal today without mezzanine financing.  And it’s been a long time since so many PE firms have considered mezz to be a necessary part of a capital structure.

After all, senior debt has become non-existent.  Second lien loans are practically out of the picture.  So the action is all on the mezzanine playing field -- and that’s not likely to change much during the current credit crunch.

From the third quarter of 2007 to the third quarter of 2008, mezzanine debt as a percentage of total debt grew by more than six-fold -- to 31%, up from only 4.6%!

But along with the money, middle-market mezzanine providers also have the power.  So you’ve got to know how to find them, how to approach them, how to get them interested, and how to negotiate fair terms with them.

It’s a task made infinitely easier after you’ve attended The Capital Roundtable’s all-new, full-day West Coast MasterClass on How to Negotiate With Mezz Lenders Now That the Credit Crunch Has Given Them the Upper Hand, on Thursday, March 12, in San Francisco.  We’ll usher in a stellar faculty who will help you learn the names, terms, pricing, and opportunities that can all make mezz work for you in the months to come.

What’s more, you’ll be able to network with fellow professionals with financing to offer and connections to mine.  Getting deals done in a recession requires better connections, and there is no better place to meet key middle-market movers than this MasterClass.

Plus by signing up now, you can take advantage of a $400 early bird discount! (And that’s a good idea, because we know this will be a popular presentation and seating is limited.)

20 Mezzanine Financing Experts Point the Way

This day-long MasterClass is co-chaired by two top names in the mezzanine marketplace.  To provide a revealing perspective on current matters, you’ll hear from Ron Kahn, head of  the debt advisory group at Chicago-based investment banking firm Lincoln International.  Ron is the widely-acknowledged thought leader in the mezzanine finance industry, and you won’t want to miss his insightful analysis.

And to bring you a comprehensive overview of the nuts and bolts of getting mezz deals done, you’ll hear from Tom Stromberg, partner and head of Kaye Scholer's private equity practice on the West Coast. Tom has represented mezzanine lenders in over 50 deals and is a highly sought after industry practitioner in PE and M&A transactions.

Intrigued? They’re just one-tenth of the story.  You’ll also be hearing from top mezzanine lenders sharing what they’re putting on the table.  Senior and hedge fund lenders discussing their unique takes on making deals happen.  Plus prominent restructuring experts, PE managers, consultants, and more.

When you attend this timely MasterClass, you’ll learn the answers to all the issues that are sure to be on your mind:

  • What are the benefits of using mezzanine financing?
  • Where do you find mezz lenders with available capital?
  • How can you get mezzanine lenders to look at your deal?
  • What should you expect for pricing and terms, and where are rates headed?
  • How much competition is out there for mezzanine deals?
  • How can you structure deals to ensure maximum opportunity?
  • When can mezz financing play a role with recapitalizations?
  • Which players have left the marketplace and who is entering?
  • How can mezz financing be used to acquire or recapitalize distressed companies?
  • What firms are raising their own captive mezzanine funds, and why?
  • How are senior lenders reacting to the mezz financing boom?
  • What are the potential pitfalls that can scuttle a mezzanine deal?
  • What segments of the market are more likely to use mezz financing?
  • And much, much more.

Now’s the Time to Make Your Plans to Attend

While we’re bringing you a trove of useful information, we excel at making the day enjoyable and manageable. We know a big reason you like to come to Capital Roundtable conferences is that we work hard to help you make connections.  Between our keynotes and panel presentations, there will be plenty of time to network with both fellow attendees and our featured speakers.

We’ve designed this MasterClass to benefit a wide range of industry professionals --

  • GPs who need to find capital for new or existing deals.
  • LPs and Sponsors who want a better understanding how today’s funding environment affects their positions.
  • Established mezzanine lenders wanting to compare their pricing and strategies.
  • New mezzanine lenders wanting to participate in more deals.
  • Junior debt agents wanting to improve competitive knowledge.
  • Attorneys and advisors who want to be more familiar with the mezzanine marketplace.
  • Investment bankers who want to increase their use of mezzanine capital.
  • Corporate executives of portfolio companies that are using or considering mezzanine financing.
  • Executive search professionals recruiting for the private equity industry.

We also encourage you to attend our pre-MasterClass Workshop the day before on Wednesday, March 11.  This optional panel presentation will expand your working knowledge of this vital area --

Intercreditor Agreements & Bankruptcy Issues”

Remember, register by Friday, January 9, 2009, and you’ll save $400 off our regular fee! So reserve the date now and find out why this truly is a golden age for mezzanine financing. We’ll be looking forward to greeting you.
