While the financial media’s spotlight usually gets trained on the mega-funds, a much smaller but fast-growing contingent in the industry— independent sponsors – is increasingly commanding attention. 

These investors – sometime called “fundless” or “unfunded” -- (perhaps you among them) -- are joining the hunt for a variety of reasons.

Some have an entrepreneurial fire-in-the-belly … others are dealmakers looking to escape the pressures of their current jobs in the industry …  still others “back in,”  learning of a solid company to buy, then setting up shop to go after it.

Whatever the entry point, wildcatting in the world of private equity—going after deals independently and risking ultimate failure -- is a gutsy pursuit.   After all, you’re playing with your own money. 

But with a lot of sweat equity and the right kinds of support, including reliable sources of equity and debt, the rewards can often greatly outweigh the risks.  The management fees you obtain and the final piece of the pie you receive on exit can be handsome indeed, depending on the kind of deal you finally negotiate.

The Critical Questions Independents Ask

Independent sponsors are often playing the field by ear, and resolving issues on the fly –  

  • How do we identify and approach companies worth pursuing?

  • How, without committed funds, do we persuade a seller we’re serious prospective buyers—and a better bet than a traditional P.E. firm with committed capital?

  • How are independents like us being affected by the credit crunch?

  • What are the pros and cons of raising debt and equity through institutional vs. high net worth individual investors?

  • How do we assess the relative value of various backers, knowing that any given deal can go south?

  • How do we allocate our time wearing so many hats … searching for businesses, doing due diligence, seeking out funding, and working with management?

  • How do we buoy the seller throughout the often emotionally wrenching process?

  • And how do we deal with all of this while being cash flow negative?

Questions like these and others are precisely why there’s such keen interest every time The Capital Roundtable produces a MasterClass for independent sponsors.

Now in its sixth edition, this event is wholly focused on the latest tactics and strategies, and do’s and don’ts, helping independent sponsors and their financial backers  operate successfully.

Whether you’re already doing deals independently and seeking new know-how (and contacts), or you’re eager to dip your toe in for the first time, you’ll get the help you need at this MasterClass.  And if you’re a provider of professional services to independents, you’ll surely find this a very fertile environment.

On Wednesday, October 29th, you’ll learn current trends and observations from four panels of equity and mezz investors, senior lenders, investment bankers, and other experts, being led by Tim Briglin, the managing partner of Tuckerman Capital, one of the nations most experienced providers of equity funding to independent sponsors.  

Joining Tim will be 20 top speakers, each having unique, privileged intelligence to share.  Sharing the audience will be dozens of other sponsors, investors, and advisors, many of whom have participated in one or more of the previous five MasterClasses on this subject.

In Response To Demand … Double the Help

Based on proprietary market research, this time around, in addition to the day-long MasterClass, The Capital Roundtable’s producers have created two brand-new events.

First of all, on the day before -- Tuesday, October 28 -- an additional half-day is being added to this previously one-day MasterClass to accommodate all the interest and information out there.  Together, they will form a powerhouse double session. 

Called the “ToolBox,” the new half-day on the afternoon before the MasterClass will consist of three consecutive hour-long workshops featuring a dozen experienced independent sponsors. 

Most uniquely, these sessions are for independent sponsors only, behind closed doors, with no investors, no professional services vendors.   The purpose is for experienced sponsors to share their experience and wisdom with you and with each other -- including the tools they have found that work best.  The reason for keeping the doors closed to non-sponsors is so that you can ask your questions, and they can give their answers, in a setting that is comfortable and private. (Why must you never do business with ABC law firm?  Why is DEF Capital’s portfolio having such difficulties? What mezzanine fund is too-often overlooked?)

Second, and equally wonderful, after the ToolBox, on the evening before the MasterClass, is another special event – a networking reception and buffet dinner for sponsors and backers and bankers to get acquainted and build relationships and rolodexes. 

A special feature will be “Speed Funding” – private equity and mezzanine investors are reserving tables, and independent sponsors can  circulate among them, stopping for 15-minute mini-meetings.  

And in between, sponsors and funders can network not only with each other but also with lawyers, valuation experts, and other providers of professional services.
