Caution -- if you’re the COO or CFO of a middle-market private equity firm, your workload is about to grow -- again.  It may even double by the end of this year.

Already you’ve seen that demands for more transparency have left you with lots of new rules and regulations to keep up with.

And you also know that fund sizes have been increasing, so you’re facing more and more reports and requirements, not to mention more and more portfolio companies to ride herd on.

Now … consider this --

  • Effective at the beginning of 2008, the Financial Accounting Standards Board is altering how firms like yours and its portfolio companies need to account for M&A transactions.
  • And worse, from your workload point of view, there’s still confusion over implementation of FASB 157 because fair-value assessments is not yet a concrete practice.

At the “mega” private equity firms, they have teams of people handling these issues.  But in the middle-market, just one or two directors are commonly expected to be expert in all areas of back office operations.

That’s why it’s more important than ever for you to come to The Capital Roundtable’s concise one-day MasterClass on “The Nuts & Bolts of Running a P.E. or V.C. Shop in Today’s Demanding Environment.”

Specially formulated for busy COOs, CFOs, CAOs, and office administrators, this program is being conveniently held on Thursday, March 27, 2008, in midtown Manhattan.

In one compact tightly-orchestrated day, this MasterClass brings together 25 experts who will help you review everything you absolutely need to know. You’ll leave this program with up-to-date information about the regulatory, legal, and accounting environments -- and a list of best practices on how to operate your back office more efficiently.

This MasterClass is being led by Mark Epstein, a managing director and CFO at Tailwind Capital Partners LP. Tailwind is an independent private equity firm that manages over $1.8 billion in capital.  It was created in 2003 by a team of prominent professionals, including Mr. Epstein, who brought together their experiences from some of the industry’s leading firms.  Mr. Epstein has held senior management positions with several operating companies.  He is a CPA and holds degrees from Brown University and the Harvard Business School.

We also encourage you to attend one our Pre-MasterClass workshop on Wednesday, March 26, that will delve into the following topic:

  • Information Technology -- What IT Systems & Software You Need to Keep Your Firm on Track

Those Attending the full-day MasterClass will learn --

  • The best accounting and tax practices
  • The  ins and outs of all the new FASB reporting requirements
  • The best ways to manage investor relationships
  • To identify the most compelling ways to deal with disclosure requests
  • To handle the increasingly complex compliance issues
  • To manage risk management programs with insurance and IT controls
  • About the latest trends in employee compensation and performance reviews
  • About the best policies and procedures for outsourcing IT, payroll and benefits, portfolio purchases, etc.

You should attending this MasterClass if you are a --

  • COO or CFO or CAO of a private equity or venture capital shop
  • Administrator of a fund
  • A lawyer advising private equity or venture capital firms
  • A lender who finances private equity deals
  • An investment banker who helps gets portfolio companies ready for sale

For more information, please feel free to contact Heather Sote at 212/832-7333 ext. 111 or

This program is being produced by The Capital Roundtable, the country’s sole informational conference organization focused exclusively on the private equity community.
