Are you tired of standing on the sidelines, reading about private equity deals, and want to know how you can do these kinds of deals on your own? Or are you interested in learning about ways to raise capital for deals, without the luxury of having a fund? Or are you already a dealmaker, and need to meet more institutional investors who have capital to back you?

If you’ve developed a strong track record of doing deals, and are thinking it’s time to go out and raise your own fund, this MasterClass may be timed just right for you.  If you already manage an institutional private equity or mezzanine fund, and want to connect with fundless sponsors who have qualified deals to show you, this MasterClass will offer you the right connections.

On Wednesday, September 19, The Capital Roundtable is holding the next edition of our immensely popular MasterClass on the latest tools, trends, and techniques for being a successful fundless equity sponsor (i.e., a dealmaker who raises capital on a deal-by-deal basis).

Leading the program is Michael Alcamo, president of M.C. Alcamo & Co., a prominent fundless sponsor who specializes in middle-market buyouts.  Mr. Alcamo has been involved in private equity deals worth nearly $15 billion.

You’ll learn from a faculty of 20 experts -- fundless sponsors as well as financial backers.  You’ll meet fundless sponsors who can teach you how they identify the right companies, raise the capital, and close their deals. You’ll meet partners in private equity and mezzanine firms who can teach you what they are looking for, and how to recruit their help.  You’ll also learn how to navigate the minefields and avoid the traps that first time dealmakers often fall into.  And you can swap war stories and questions with other dealmakers who can share the lessons they’ve learned.

This MasterClass will include --

  • Two different panels -- four fundless sponsors each -- that focus on strategies these sponsors have found successful.
  • Two more panels -- four backers of fundless sponsors each -- that zero in on what these investors look for and how they operate.
  • A special fifth panel with four speakers who provide professional services to fundless sponsors -- how to package deals, how to structure deals, how to win over investment bankers, how to attract institutional investors.
  • And two concurrent three-hour workshops the day before on how to attract the right deal flow and how to raise a private equity fund.

When you leave this MasterClass, you’ll have learned the following skills, which will help you succeed as an independent dealmaker and fundless sponsor --

  • Where to find potential backers -- private equity firms, mezzanine funds, family offices, high net worth individuals
  • Managing senior and junior debt tranches
  • The best approaches to convince backers to invest in your deals
  • How to structure a deal so you can make money, gain a fee, and receive a percentage of equity
  • How to properly value an acquisition opportunity
  • Key principles of all-important due diligence including analyzing financial statements, conducting background checks, performing a competitive analysis, and researching technologies and patents
  • How to network with attorneys, mezzanine investors, investment bankers, and other professional service companies to generate business
  • Master negotiating with feisty entrepreneurs who are likely selling their businesses for the first and last time
  • Using your initial deal to build a track record and proceed to your second and third deals

We also encourage you to attend one of our pre-Masterclass workshops on Tuesday, September 18. The topics are:

  • How to Attract Proprietary Deal Flow & Line Up the Right Equity & Debt
  • How to Raise a Dedicated Private Equity or Mezzanine Fund -- The Fundamentals

You should attend this MasterClass if you --

  • Are an experienced fundless sponsor interested in learning about new techniques and new market players
  • Are a prospective fundless sponsor who needs to learn the ropes
  • Are a service provider looking to identify new clients that are unlikely to be found in a directory
  • Are an investment banker, who might be asked to finance a fundless deal
  • Are a mezzanine lender
  • Are an attorney with either corporate or financial clients that require M&A counsel
  • Are a venture capitalist looking to exit a portfolio company
  • Are a CEO or CFO of a company in search of private equity funding
  • Are a private equity sponsor
  • Want to know where the mezzanine market is, and where it is going.
