More and more middle-market transactions in recent months have been "carve-outs," "spin-offs,"and "spin-outs" of business units from large corporations. Observers say the pace of this trend promises to pick up in 2004.

In the private equity market, increasingly firms are prospecting for nuggets embedded in larger corporations that have the potential to shine under new ownership.And in the public arena, corporations are creating huge value through the successful "spin-off," or "spin-out", IPO of profitable businesses that are considered under-valued by shareholders. In fact, according to the New York Stock Exchange, such transactions have been a meaningful source of IPOs in 2003, with more scheduled for 2004.

In this special day-long MasterClass, you will learn the details why public and private companies are selling business units, why private equity firms and public investors are snapping them up, the pros and cons of such transactions, which firms are active, how these deals are being structured, and most of all, how you can participate in these transactions.

This MasterClass consists of five intensive hour-long panels, featuring presentations by a team of experienced specialists, and an hour-long introductory overview by program Chairman Tom Janes, a managing director at Lincolnshire Management Inc, the prominent middle-market buyout fund which has successfully completed a number of "carve-out" transactions.
