Cybersecurity is no longer a discretionary expense for enterprise customers -- it’s a crucial investment due to significant need.

Legacy systems still in operation require protection that meets current standards. New infrastructure must be deployed that’s ready for next-generation platforms. Websites must be protected from attacks, and networks must be guarded from compromise.

Yet while the market is rapidly growing, it’s changing at an even more rapid pace. What seems cutting edge today can be passé tomorrow.  Investors need to do extensive diligence beforehand, or partner with highly experienced advisors, to avoid expensive mistakes.

You’ll be ready to consider all these issues after you attend The Capital Roundtable’s ENCORE conference -- “Private Equity Investing in Cybersecurity Companies”-- being held in New York City Thursday, April 3.

From a statistical standpoint, the outlook is fantastic --

  • It’s believed that only 15-20% of all private enterprises and federal agencies have upgraded their security to the level needed to keep up with the current state of threats.
  • The size of the U.S. cybersecurity marketplace is estimated at about $65 billion today, and growing to $90 billion by 2017.
  • Over the last year, private equity and early-stage investors combined poured over $1.4 billion into the security market across 239 deals.
  • Over the past few years, it is estimated that more than $400 billion in intellectual property thefts has occurred through cyber breaches.
  • Even in a time of spending cuts, the U.S. government is increasing its expenditures on security solutions.

If there was ever a timely business niche for middle-market private equity investors to capitalize on, it’s cybersecurity.

Making this event even more timely is Commerce Secretary Penny Pritzker’s release of the Obama administration’s “cybersecurity framework” -- as well as Defense Secretary Chuck Hagel’s announcement that despite massive cuts in other parts of his department, the budget for cybersecurity is being expanded, mirroring a trend already underway in corporate America.

This conference will explore the opportunities afforded by growing corporate and federal spending on cybersecurity, as well as the impact from potential changes following revelations about the government’s collection of data. This includes a discussion with John Stenbit, former Assistant Secretary of Defense.

Indeed, many high-profile transactions in the past year have demonstrated this fact -- both middle-market acquisitions, and high-visibility exits --

  • Thoma Bravo portfolio company Blue Coat System’s acquisition of Crossbeam Systems Inc., a provider of network security solutions.
  • Vista Equity Partners’ acquisition of Websense Inc., a provider of network security solutions against cyberattacks and data theft.
  • Cartesian Capital Group’s investment in redIT, a provider of physical and cyber security systems for data centers and cloud computing.
  • GTCR’s successful exit of Six3 Systems, a provider of cyber and intelligence solutions.

Keep in mind, however, that cybersecurity is really not a “sector” of its own -- because there’s no universal definition of what “cyber” means.  The reality is that the cybersecurity marketplace is a series of small subsectors that address different parts of the overall information security space.

Attend this conference, so you can hear which of these many subsectors hold today’s most promising opportunities, such as --

  • Internet Security – Companies that actively prevent Internet-based cyberattacks through web browsers and other entry points.
  • Mobile Security – Companies that guard against security breaches and malware attacks through smartphones, tablets, and other wireless portable devices -- and provide authentication and management of employee’s own personal devices.
  • Network Security – Companies that offer network protection and monitoring solutions for IT administrators and technical personnel.
  • Cloud Computing – Companies that design and implement secure cloud computing solutions.
  • Threat Mitigation – Companies that identify and remove malware and malicious code that has penetrated the network.
  • Big Data Analytics – Companies that offer analytics and data-optimizing technologies that provide network visibility and proactive intelligence to detect and stop threats.

Here are 6 important reasons you should Register Now for this encore Capital Roundtable conference, “Private Equity Investing in Cybersecurity Companies”

  • Hear the unique criteria that can help private equity cybersecurity investors find the best opportunities during 2014.
  • Listen to cybersecurity veterans highlight their successes and reveal the strategies they’re using today.
  • Understand why integrated, enterprise-wide solutions are gaining favor over collections of dedicated solutions.
  • Learn which revelations out of the current NSA controversy may provide immediate opportunities for investors.
  • Discover the rules of thumb investors are using to assess valuations in the cybersecurity marketplace.
  • Recognize just when it may be a good time to exit a growing cybersecurity company.

Register Now to Meet 20 Cybersecurity Experts

This conference on April 3rd will bring you three panel discussions led by our chair and featuring shared insights from top PE professionals, plus two informative keynote presentations and two informal chat discussions. You’ll hear real-world perspectives, lessons learned and industry outlooks, plus insights on managing current portfolio companies.

We welcome and thank the program’s Marquis Sponsor, the law firm, Benesch, represented by Michael D. Stovsky, chair of the firm’s cyber security practice. Michael will be moderating a panel of private equity dealmakers discussing how they navigate the unique issue of cybersecurity company deals.

Chairing this encore conference on Thursday, April 3, in New York, is Manish Thakur, managing partner at Hudson Fairfax Group LP in New York City. HFG is an independent private equity sponsor that provides growth capital to security companies focused on cyber intelligence networks and homeland security.

Manish has lived and worked in New York, London, and Hong Kong for nearly 20 years as a principal investor, investment banker, and chief financial officer. Prior to founding HFG, he has worked at Merrill Lynch, SG Cowen, and HSBC where his responsibilities included managing initial public offerings, private placements, mergers and acquisitions, private equity, and strategic investments.

Manish holds a B.Sc.(Honors) in economics from the University of London and an MBA in Finance from Columbia Business School.

By attending this Capital Roundtable conference, you’ll be well poised to act on the very best middle-market deal opportunities of 2014. We’ll answer questions such as --

  • Which specific subsectors of middle-market cybersecurity are likely to provide the best returns during 2014?
  • What makes the cybersecurity space so attractive for middle-market PE investors today and what factors may impact its future growth?
  • How can investors in the space avoid traps and pitfalls?
  • How are lenders approaching cybersecurity deals and what factors are behind their decisions?
  • What are the metrics and valuation guidelines that can help you judge a middle-market cybersecurity deal?
  • Will the divided U.S. Congress attempt to take a greater role in cybersecurity regulations in 2014, or continue to sit on the sidelines?
  • What are the misconceptions about middle-market cybersecurity investing -- and what is the reality?
  • How does the potential cost of “getting it wrong” affect the budgets that American corporations are devoting to cybersecurity expenditures?
  • How are companies using “Big Data” to develop new innovations and unusual approaches for cybersecurity solutions?
  • What are the best practices for improving operations in cybersecurity portfolio companies?
  • What are the most important things a firm has to get right when exiting a cybersecurity investment?
