Today, few private equity deals are more consistently attractive than franchise companies. The industry has a superb cash flow profile… the long-term agreements that franchisees sign can assure long-term fee income… and good concepts can produce a robust demand for new franchise formation.

So what was once an industry off of investors’ radars has become quite alluring.

And with every seat filled at our first-ever franchise companies conference last year, we began planning this encore conference to outdo ourselves.

With so many private equity firms stepping up their interest in franchises, it’s a great time for you to step into The Capital Roundtable’s ENCORE conference on  “Private Equity Investing in Franchise Companies,” being held in New York City on Thursday, October 18.

Plus when you sign up for this conference before August 24, 2012, your registration qualifies for our Early Bird Discount -- a generous savings of $400.

To chair this timely conference, we’re delighted to welcome Sam Katz, managing partner at TZP Group LLC, a middle-market private equity firm in New York City that focuses on control investments in U.S.-based business and consumer services companies.

With the rise of social media and the growing role of advertising in popular culture, American consumers are more fascinated than ever with brands -- looking for familiar names and taking comfort in their promise.

And these include all sorts of companies, often in categories where franchising is just now bringing recognition, predictability, and value. As well as the traditional restaurant and fast food space, opportunities are sprouting in home care, supplemental health, personal fitness, children’s education, recreational services and other broad-appeal concepts aimed at people with shrinking free time.

Just some recent middle-market private equity activity include --

  • Argonne Capital Group’s acquisition of hamburger chain Krystal.
  • Birch Run Capital’s investment in salon chain Regis.
  • Levine Leichtman Capital’s acquisition of Lawn Doctor.
  • And Fog Cutter Capital’s acquisition of casual-dining chicken wing chain Buffalo’s.

Sam Katz serves as Chairman of avVenta Holdings LLC and as a board member of DLT Solutions LLC, Media Storm LLC, The Dwyer Group Inc., and Total Military Management. Prior to founding TZP Group in 2007, Sam was CEO of MacAndrews & Forbes Acquisition Holdings, Chairman & CEO of Cendant's Travel Distribution and Financial Services divisions, Co-Chairman of Saber Capital, and was Vice President at The Blackstone Group. The franchise brands he has acquired include Avis, Days Inns and Coldwell Banker. Sam received his BA magna cum laude in economics from Columbia College.

20 Franchise Company Specialists Cover The State Of The Industry.

Along with Sam, four lively and informative panel discussions will feature 20 knowledgeable PE experts in the franchise industry -- including GPs, portfolio company operating executives, investment bankers, lenders, consultants, and more.  They will share their real-world perspectives, lessons learned, and industry outlooks, including insights on recent deal activity and managing current portfolio companies.

You’ll hear the importance of due diligence into the health of a franchise system and how the unit economics must be attractive enough to make it appealing for current franchisees to continue in place and new franchisees to come on board.

Hear experts talk about how to make sure that enough financing is available to franchisees, and that growth is controlled so you don’t wind up with a zero-sum game where you’re not gaining new customers, just spreading the existing customers around (hello, Krispy Kreme).

You’ll hear discussion on the importance of ascertaining whether the original value proposition that made a franchise successful still exists -- or can be resurrected.  If only a small group of franchisees makes money, it doesn’t bode well for the long term.  If franchisees suddenly believe they don’t need the brand or must rely on their own resources too many times, you’re headed for trouble.

Register now to get the answers to important questions like these --

  • Which industries that use the franchising model are likely to provide investors with the best opportunities for 2012 and beyond?
  • What are some of the main reasons behind the increasing interest PE firms are showing in franchising companies?
  • How do the relationship dynamics between franchisor and franchisee affect profitability?
  • What is the current regulatory climate for franchising companies, and how to you tell whether a company has a culture of compliance?
  • How is due diligence for a franchising deal different from that for a traditional company?
  • What current middle-market deals are representative of recent franchise company activity?
  • Are there any rules of thumb for assessing interest in franchisors vs. master franchisees?
  • How do franchise company valuations compare to those of comparable non‑franchise businesses?
  • What are the potential pitfalls facing PE firms?  How do you assess management competency… operations protocols… franchise agreements… litigation history?
  • And much, much more.

Develop The Relationships You Need To Succeed.

This conference offers exceptional networking opportunities where you can make contacts and build connections within the franchise industry.  The day’s agenda includes ample time, with session breaks and an open lunch, when you can exchange ideas and business cards with fellow attendees and featured speakers.

You should attend this conference if you are a --

  • GP or LP looking to invest in franchising companies.
  • New private equity firm considering investing in franchising companies.
  • Hedge fund manager or venture capitalist interested in this specialized space.
  • Operating partner or operating executive of a franchising company.
  • Lender wishing to participate in franchising company transactions.
  • Investment banker pursuing deals within the franchising industry.
  • Attorney or advisor who focuses on the franchising space.
  • Executive search professional recruiting for the private equity industry.

Remember, register with our Early Bird Rate by August 24, 2012, and you’ll save $400 off our standard fee!  Please make your reservation now so you’re not disappointed.  We’ll be looking forward to greeting you.
